Crucify

Hook boot into safe mode then use task manager to kill the program. Then run addaware, spybot S&D, and AV software.
You can get rid of it that way.
You can also try this first, go there and run House call>> http://housecall.antivirus.com/housecall/start_corp.asp

Back up, format, reinstall. I had to do it a week or so ago for a similar reason and it was pretty easy, the XP install was all pretty straight foward. Unless you dont have the cd, that is  :P

Have you installed sp2 recently?

This goes out to everyone, if you have a working computer, don't install Service Pack 2 without backing things up. It have messed up a lot of computers when installing over system configurations. If you really want it and to be installed clean then you should concider doing it with a fresh windows installation to make it flawless.

This was kind of off-topic but anyway, what micky said is the best, if you have time and somewhere to put the back-ups atleast. :p
